Terms and Conditions
The portal NegociosEnFlorida.com (hereinafter, the "Portal" or the "Site") is operated by Businesses in Florida LLC (hereinafter, "NeF", "we" or "our"), a limited liability company incorporated under the laws of the State of Florida, with address at Suite 500, 2000 Ponce de León Blvd., Coral Gables, FL 33134, United States of America.
The Portal also includes a Directory of Professional Serviceswhich constitutes a space of paid advertising in which independent professionals and companies (hereinafter, the "Advertisers") contract the publication of advertisements for their services by paying a subscription fee. An Advertiser's participation in the Directory is a purely advertising relationship and does not make said Advertiser an employee, agent, partner, or representative of NeF.
Directory of Professional Services (Paid Advertising)
Advertising nature. The profiles, cards, and ads that appear in the Services Directory are paid advertising contentAdvertisers pay NeF a fixed subscription fee for the publication and visibility of their ads. NeF's compensation is not contingent on whether or not the User contracts the Advertiser's services, and NeF receives no commissions, referral fees, or any share of the fees the Advertiser charges its clients.
Lack of support or verification. Including an Advertiser in the Directory This does not constitute a recommendation, endorsement, certification, or guarantee. NeF makes no judgment regarding the suitability, licenses, credentials, quality, pricing, or results of the Advertiser's services. NeF performs a basic editorial review of listings before publication, limited to the form and appropriateness of the content, but does not independently verify the Advertiser's professional licenses, certifications, or background. It is the User's responsibility to verify the credentials of any professional before engaging them, including, where applicable, their status with The Florida Bar, the Florida Department of Business and Professional Regulation (DBPR), the Florida Board of Accountancy, or other relevant authorities.
Direct contractual relationship. All service contracts between the User and an Advertiser are concluded directly and exclusively between themNeF is not a party to this relationship, does not intervene in the negotiation, provision, billing or collection of the Advertiser's services, and assumes no responsibility for the fulfillment, quality or results of such services, nor for any damages or losses that may arise from the relationship between the User and the Advertiser.
Regulated professional services. Content posted by advertisers who are lawyers, certified public accountants, insurance agents, or other regulated professionals is the sole responsibility of those advertisers, who declare that they comply with the advertising and ethical standards of their respective professions. Nothing published in the Directory constitutes legal, accounting, tax, immigration, insurance, or investment advice from NeF.
Independence of brokerage services. NeF is the operator of the Portal and the Services Directory and does not provide brokerage services neither business nor real estate. The brokerage services referred or promoted on the Portal are provided by International Business Group LLC ("IBG")IBG, a brokerage firm licensed under Chapter 475 of the Florida Statutes, is a legally distinct entity from NeF. The Services Directory is an independent advertising activity separate from said brokerage services. Consulting the Directory or contacting an Advertiser does not create any brokerage, agency, or representation relationship between the User and NeF, or between the User and IBG.
Conditions Applicable to Advertisers
Representations and warranties. By placing an advertisement in the Directory, the Advertiser represents and warrants that: (a) it possesses and will maintain all licenses, registrations, and authorizations required by law to provide the advertised services; (b) all information provided (name, description, category, coverage, contact information) is truthful, accurate, and not misleading; (c) it owns or has sufficient authorization to use the logos, trademarks, photographs, and other materials submitted for publication; and (d) its advertising complies with applicable legislation, including the rules of the Federal Trade Commission (FTC), the Florida Deceptive and Unfair Trade Practices Act (FDUTPA), and, where applicable, the advertising rules of its professional association or regulatory body.
License to use materials. The Advertiser grants NeF a non-exclusive, worldwide, royalty-free license to reproduce, publish, adapt to the Portal's format, and display the submitted materials, for the sole purpose of operating and promoting the Directory, including their appearance in business listings, blog articles, and the Portal's social media, for as long as the subscription remains in effect.
Editorial review and moderation. All advertisements are subject to editorial review prior to publication. NeF reserves the right, at its sole discretion, to reject, edit, suspend, or remove any advertisement that is false, misleading, illegal, offensive, contrary to these Terms, or that may harm the Portal's reputation. In the event of removal due to a breach by the Advertiser, no refunds will be issued.
Payments, renewal and cancellation. Directory fees are paid via monthly subscription, securely processed by Stripe, based on the selected ad level (Featured, Standard, or Basic). The subscription automatically renews each month until canceled. Advertisers can cancel at any time from the Portal management page; cancellation takes effect at the end of the current monthly period and does not generate prorated refunds. NeF may change the fees with reasonable advance notice; the new fees will apply starting with the next renewal period. Prices do not include taxes, which, if applicable, are the responsibility of the Advertiser.
Advertiser Compensation. The Advertiser shall indemnify and hold harmless NeF, its directors, employees and associates from any claim, demand, penalty, damage or expense (including reasonable attorneys' fees) arising from: (a) the content of its advertisement; (b) the services it provides or fails to provide to Users; (c) the infringement of third-party rights, including intellectual property rights; or (d) the breach of these Terms or applicable law.
Notwithstanding the foregoing, NeF shall not be liable, to the fullest extent permitted by law, for the acts or omissions of the Advertisers in the Services Directory, nor for the quality, legality, suitability or results of the services they provide to Users, nor for communications between User and Advertiser by any means, including WhatsApp, email or telephone, from the contact initiated through the Portal.
Directory profiles may include links to the Advertiser's website and direct contact buttons (e.g., WhatsApp). By using these links or buttons, the User leaves the Portal environment or initiates external communication governed by the terms and privacy policies of the platform or the corresponding Advertiser, over which NeF has no control.
